Effective and comprehensive corporate governance structures are now essential to the operation of a successful business. Our lawyers advise senior management, boards of directors and shareholders of public and private companies on their continuing obligations and in the development of effective corporate governance structures.

We have advised boards of directors on their general obligations and duties under Irish company law and (where applicable) on their obligations under:

  • the AIM and ESM Rules for Companies;
  • the UK Corporate Governance Code the Listing Rules of the Irish Stock Exchange; and
  • the Market Abuse and Transparency Regimes.

Our lawyers have worked closely with individual non-executive directors and board committees alike on their obligations within the corporate governance framework and have advised them on best practice in corporate governance.

We are also highly experienced in advising boards of directors and other stakeholders on procedures for board and shareholder meetings and in the preparation of annual reports, circulars and other key shareholder documentation. 

From a shareholder perspective, we are keenly aware of the importance of corporate governance as a means of protecting and enhancing shareholder value. Against that background, we have advised shareholders extensively on the most relevant shareholder related corporate governance issues.

Corporate Partner Enda Newton has advised on issues relating to governance in the public sector and he is intimately familiar with the workings of the Code of Practice for the Governance of State Bodies, together with financial and other compliance procedures within Irish Government Departments.
